Terms and Conditions

IMPORTANT – Please read these terms and conditions (“Terms”) carefully. These Terms set out the agreement between you and Let’s Go Limited (“WIL”, “we”, “us” and “our”). WIL is a wholly owned subsidiary of Wilson Group Limited.

Let’s Go Limited is the owner, operator and provider of the motorist engagement platform named “WIL – All-in-one Engagement Platform for Hong Kong Motorists”, which is accessible through the website www.gowil.com.hk and/or its sub-domains (collectively, “Site”), a mobile application (“App”) and other media platforms. By registering to become our Member, and/or using or accessing the App or the Site, you agree to have read and understood these Terms and to be bound by these Terms.

These Terms constitute a legal agreement between you and WIL, and are deemed to be incorporated by reference into any contract, registration form or agreement. We reserve the right to modify, vary and change these Terms at any time at our discretion. Such modifications, variations and/or changes to the Terms shall be effective upon the posting of an updated version on the App and/or the Site. You agree that it shall be your responsibility to review these Terms regularly and your continued Membership with WIL, and/or use or access of the App or the Site after changes have been made to the Terms constitute your acceptance of the revised Terms.


  1. Definitions

    1. Capitalised terms not otherwise defined in these Terms will have the meanings set forth in this Clause 1.1.

      “Additional Terms”
      means the Additional Terms & Conditions for Prestige Membership.
      “Affiliates”
      means any direct or indirect parent companies, our direct or indirect subsidiaries or affiliates, or any other entity that controls, is controlled by or is under common control with us or Wilson Group Limited (whether through direct or indirect ownership of fifty (50%) or more of the shareholding or voting rights, or the right to control the management of the entity or to appoint or remove a majority of the board of directors).
      “Agreement”
      means these Terms, the Additional Terms and any other terms and conditions which WIL will communicate to Members from time to time.
      “App Content”
      means all information, materials, data, texts, music, sounds, graphics, photographs, videos and images made available on the Platform or via the App, the Site and the Channels, including without limitation the Driving Information.
      “Car Parks”
      means the parking facilities owned, managed, leased or operated by Affiliates or Partners.
      “Channels”
      means the channels for the advertisement and promotion of the Platform including but not limited to WIL’s social media and any communication platforms of our Affiliates, Merchants and Partners.
      “Coupon”
      means a token issued electronically in the form of QR (quick response) code, which can be redeemed by using WIL Points for free parking or other Rewards; and “Coupons” shall be construed accordingly.
      “Driving Information”
      means all information, data, maps, locations (e.g. speed camera locations, Car Park locations, Merchant locations, etc.), news, driving tips, auto trends, suggestions and recommendations provided in “Map”, “Merchant List” and “News” of the Platform.
      “Force Majeure Event”
      means any circumstances beyond the reasonable control of WIL, including without limitation act of God, war, act of foreign enemies, terrorists attack, riot, civil commotion, strike, lockout and other labour disturbance (including those involving or affecting WIL).
      “Hong Kong”
      means the Hong Kong Special Administrative Region of the People’s Republic of China.
      “Member”
      means any person who is a member of the Platform; and “Members”, “Membership” and “Memberships” shall be construed accordingly.
      “Merchants”
      means good retailers and service providers with whom WIL has made arrangements for Members to earn WIL Points and redeem free parking and Rewards under the WIL Engagement & Rewards Programme. A full list of Merchants is available for viewing on the App at “Merchant List”.
      “Octopus”
      means device and non-device-based stored value facility cards and products provided by Octopus Cards Limited, and shall bear the same meaning as defined in their Conditions of Issue of Octopus.
      “Partners”
      means the participating companies which offer Membership benefits and other exclusive privileges, promotions, discounts and incentives to Members.
      “Platform”
      means the motorist engagement platform operated by WIL to provide Services under the Agreement, including but without limitation the designs, text, graphics, pictures, video, information, applications, software, music, sound and other files, and their selection and arrangement, of the Platform.
      “Prestige Membership Referral Code”
      means an activation code to be used by Members in connection with their Membership account, for the purpose of upgrading their Membership to Prestige or maintaining the Prestige status of their Membership; and “Prestige Membership Referral Codes” shall be construed accordingly.
      “Prohibited Activities”
      has the meaning given to it in Clause 16.
      “Reward”
      means any goods, services, benefits, promotions, discounts and other privileges as may be offered by Merchants and Partners under the WIL Engagement & Rewards Programme, which can be redeemed by Coupons; and “Rewards” shall be construed accordingly.
      “Services”
      means all services provided to Members in connection with the Platform and the Agreement and includes (i) the provision of Platform functions such as “Map”, “News” and “Expenses” (ii) App Content, (iii) WIL Membership and the related benefits, (iv) the administration of the WIL Engagement & Rewards Programme, (v) safe custody of your WIL ID, (vi) customer service centre with knowledgeable and helpful staff, (vii) the opening, maintaining and closing of your WIL Account, (viii) liaison with the Affiliates, Merchants, Partners and other third parties for the provision of Rewards and other offers, and (ix) maintaining our overall relationship with you, including marketing services or products to you, market research, insurance, audit and administrative purposes.
      “WIL Account”
      means the Membership account of the Platform set up for each Member.
      “WIL Engagement & Rewards Programme”
      means the rewards points programme operated by WIL through which the Platform is made available to Members for WIL Points accrual and redemption.
      “WIL ID”
      means a Member’s identification number for his/ her WIL Account, which is shown as a QR (quick response) code.
      “WIL Parties”
      means WIL, the Affiliates, and their respective officers, directors, employees, agents, suppliers, contractors, representatives and licensors.
      “WIL Points”
      means the reward points that are made available to Members under the WIL Engagement & Rewards Programme.
    2. A reference to legislation or a legislative provision is a reference to it as amended or re-enacted. A reference to legislation or a legislative provision includes all subordinate legislation made under that legislation or legislative provision.
    3. Any phrase introduced by the terms including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
    4. A reference to writing or written includes emails.
  2. Joining WIL

    1. You can join our Membership if you are 18 years old or above.
    2. You confirm that all information provided by you to us is complete, accurate and up to date.  Please update any changes of your personal details for accuracy.
    3. Membership is not available to corporations or other legal entities.
    4. A Member hereby warrants as follows:

      1. that the Member shall comply with all applicable laws, statutes and regulations regarding use of the Platform, the App and the Site.
      2. that the Member shall use the Platform, the App and the Site solely for legal purposes and will not infringe the rights of any third party.
    5. To protect the interests of other users and our Affiliates, Merchants and Partners, we have the right to determine whether or not to accept or reject your application or otherwise discontinue your WIL Account, for any reason and without any liability to you.
  3. Your WIL Account

    1. On opening the WIL Account, you will be issued a WIL ID. The use of WIL ID and the associated benefits is deemed to be acceptance of these Terms and conditions that may be issued from time to time, to the benefit of WIL.
    2. Your WIL Account and WIL ID are personal to you and only you can accrue and redeem WIL Points in return for rewards or receive any other benefits and offers in relation to your WIL Account.  You cannot sell, exchange, transfer or assign your WIL Account or WIL Points to anyone else.
    3. You are responsible for maintaining the confidentiality of your password and are fully responsible for all uses of your WIL Account and WIL ID.
    4. Multiple WIL Accounts cannot be used to earn WIL Points in relation to the same transaction.
    5. A maximum of three (3) car plate numbers can be registered for each WIL Account. Once registered, the same car plate number cannot be registered for another WIL Account.
    6. For any change in ownership of registered car plate number in your WIL Account, Members must remove the relevant registered record through the App in “My Profile” page of “My Car”. If you are found to have registered with car plate number that you do not own legitimately, we have the right to remove the registered car plate number from your WIL Account without any prior notice.
    7. If you hold an Octopus you can link it to your WIL Account.  A maximum of three (3) Octopus numbers can be registered for each WIL Account. Once registered, the same Octopus number cannot be registered for another WIL Account.
    8. Your Octopus is under the control of Octopus Cards Limited and is subject to their Conditions of Issue of Octopus, as may be amended from time to time. For the avoidance of doubt, the Conditions of Issue of Octopus are not governed by these Terms.
  4. Membership Tiers

    1. There are two membership tiers: Classic and Prestige. On opening the WIL Account, you automatically become our Classic Member.
    2. Classic Membership is the base membership level, and Prestige Membership is the top membership level.
    3. You can join the Prestige Membership by either (i) activating a Prestige Membership Referral Code or (ii) paying an annual subscription fee..
    4. Prestige Membership is valid for one (1) year, which will take effect immediately after you have activated the Prestige Membership Referral Code, or your annual subscription payment has been processed (as the case may be).
    5. Referral codes

      1. Each Member has a unique referral code that can be used to invite others to join the Membership. Both you and the referee will enjoy bonus WIL Points for every successful referral. A referral is considered successful as long as the referee uses a valid referral code to register a WIL Account.
      2. In addition, Members can acquire Prestige Membership Referral Codes from Partners, Merchants and other participating businesses with whom WIL has made arrangements to distribute the Prestige Membership Referral Codes.
      3. Prestige Membership Referral Codes will expire automatically if not activated prior to the expiration date stated therein.
      4. Prestige Membership Referral Codes are non-refundable.
      5. Prestige Membership Referral Codes should only be used for personal and non-commercial purposes.
      6. Eligibility for earning the Prestige Membership Referral Codes will be subject to the additional terms and conditions of the offerors.
    6. Annual subscription

      1. Your subscription begins as soon as your payment is processed. You will be charged, in one lump sum, the annual rate stated at the time of purchase.
      2. If you wish to continue with the Prestige Membership, you must confirm your renewal before the expiry date or re-subscribe at any time you like. If you decide not to renew the Prestige Membership, your status will change back to Classic Membership.
      3. To subscribe, you must provide your credit card details. You authorise us to collect from your credit card the appropriate fees charged for your subscription. All fees due to WIL are payable in advance and will be billed automatically to your credit card at the start of your subscription period.
      4. The Prestige Membership subscription fee is non-refundable except as provided in Clause 16.3 below.
  5. Membership Benefits

    1. The benefits available for each Membership status and the applicable terms and conditions are available for viewing on the App, the Site and/or Channels, as may be amended from time to time.
    2. Membership benefits will be subject to additional terms and conditions of the offerors, which may be subject to change without prior notice. In case of any dispute, the decision of WIL and/or the offeror is final.
    3. Classic Members become Prestige Members by paying HKD600 annual subscription fee. Prestige Members can enjoy offers and privileges exclusive to Prestige Membership, governed by the Additional Terms. To be a Prestige Member, you must agree to the Additional Terms, which become part of the Agreement between you and WIL.
    4. WIL reserves the right to modify the Membership structure, benefits and joining requirements including these Terms and the Additional Terms or to terminate the Membership at any time upon reasonable notice where possible, and WIL will not be liable for any loss or damage resulting therefrom.
    5. A summary of the respective benefits for Classic Membership and Prestige Membership is set out in “My Membership” for your reference. Membership benefits are subject to change from time to time.
    6. Free Motor Vehicle Personal Property Protection

      1. All insurance products referenced on the Platform are underwritten by Zurich Insurance Company Limited (“Insurer”) and arranged by Hung Kai Insurance Brokers Company Limited. Both entities are licensed with the Insurance Authority to carry on insurance distribution businesses in Hong Kong.
      2. Once you accept the insurance offer from the Insurer, you can automatically enjoy Free Motor Vehicle Personal Property Protection to personal possession stolen, destroyed or damaged as a result of theft from the vehicle due to vandalism and broken into:
        1. Classic Members: 6 months’ insurance coverage for up to HK$5,000
        2. Prestige Members: 12 months’ insurance coverage for up to HK$8,000
        The relevant insurance certificate will be issued by the Insurer and sent to your email address within 21 days.
      3. This offer is subject to the insurance policy of the Insurer. It is your responsibility to read the insurance policy and understand the risk coverage and exclusions before accepting the free insurance offer.
      4. Should you decide to cancel the Free Motor Vehicle Personal Property Protection, you must notify the Insurer directly by giving them the requisite written notice.
      5. In addition, Members can enjoy a range of incentives by buying motor insurance from the Insurer. These incentives include the provision of WIL Points, fuel Coupons, Membership upgrade (depending on the amount of insurance premium paid) or any combination of the foregoing.
      6. All insurance products are subject to the terms and conditions of the Insurer. Insurability, insurance premium and an offer of insurance, if any, will be determined by the Insurer entering into an insurance contract directly with you.
      7. WIL accepts no responsibility or liability if for any reason your insurance claim is rejected by the Insurer.
    7. WIL StarCard

      1. Members can enjoy discounts and fuel rebates on selected Techron® gasoline products at all Caltex service stations located in Hong Kong. Details of the offer is available for viewing on the App, as may be amended from time to time.
      2. To enjoy this offer, you must (i) have a WIL Account, (ii) redeem the WIL / Caltex co-branded fuel card (“WIL StarCard”) application Coupon for registration, and (iii) maintain as an Active Member. For the purpose of this clause, “Active Member” means those existing WIL Members who have recorded at least one WIL Point transaction in the immediately preceding month. Point transaction activities shall include all engagement actions listed under the “How to Earn Points” in the “Earn and Redeem” section on the App.
      3. You can redeem a Coupon for the WIL StarCard application form at Caltex service stations.
      4. WIL StarCard is only available to Members who either do not have any Caltex StarCard account, or whose account did not have any transaction in the past 6 months.
      5. Caltex will send the itemised monthly statement directly to each WIL StarCard Member.
      6. WIL will not be responsible or liable for any fuel or other products or services purchased by the Members under their WIL StarCard accounts.
      7. Fuel discounts and other benefits offered by Caltex are subject to adjustment from time to time at the absolute discretion of WIL and Caltex.
      8. The use of WIL StarCard is governed by the terms and conditions of Chervon Hong Kong Limited, as may be updated from time to time.
  6. Earning WIL Points

    1. To earn WIL Points, you must present “My QR code" at the point of purchase for scanning and if scanning is unavailable, you can present your WIL ID instead.
    2. You can earn WIL Points in the following manners:

      1. upon spending at the designated Merchants and Partners;
      2. parking at the designated Car Parks; and
      3. your engagement on the Platform.
    3. The number of WIL Points awarded for each activity, the earning propositions and what qualifies for the credit of WIL Points are outlined on the App and/or the Site as may be updated from time to time. The offerors may apply additional terms and conditions in respect of the availability of and eligibility for earning WIL Points.
    4. If you subscribe for monthly parking, only Wilson Parking i-Monthly users who make payment online or offine in respect of parking at designated Car Parks will be eligible for earning WIL Points.
    5. You must use the same registered Octopus card to enter and leave the Car Park in order to earn WIL Points. If the gate-in, gate-out records are not complete under the same Octopus card, no WIL Points will be awarded.
    6. If you are a monthly day- or night-parking user and only use the Octopus card to pay for the extra parking hour(s) at the Car Park exit, you will not be eligible for earning WIL Points for the extra parking hour(s) due to incomplete gate-in, gate-out records.
    7. WIL may run promotions from time to time offering bonus WIL Points. Qualifications for these bonus WIL Points is subject to the terms and conditions of each individual promotion.
    8. No WIL Points can be retrospectively claimed if you forget to present “My QR code” at the point of purchase.
    9. WIL Points will be credited to your WIL Account within 5 working days after the transaction. In some circumstances, there may be a delay in updating your WIL Points balance (for example, some transactions may have different processing times depending on the type of transactions), but we will endeavour to reflect the latest balance as soon as possible.
    10. WIL Points are valid for redeeming Coupons as soon as they are credited to your WIL Accounts.
    11. WIL Points are valid until the date specified on “Rewards” homepage, after which they automatically expire.
    12. WIL Points cannot be purchased or exchanged for cash.
    13. If we incorrectly record a Member’s WIL Points, then our only liability will be to provide the Member with the correct number of WIL Points.
    14. We reserve the right to adjust or cancel any WIL Points credited to a Member’s WIL Account incorrectly, or not in accordance with, or in breach of, these Terms or the terms and conditions of the Merchants or Partners, at any time, with or without notice to the Member.
    15. Risk in respect of theft, or unauthorised or fraudulent redemption associated with the WIL Points passes to you as soon as the WIL Points are accrued in your WIL Account.
  7. Redeeming Coupons

    1. You can use WIL Points to redeem Coupons, which can be applied to enjoy free parking and acquire Rewards. The number of WIL Points required to redeem a Coupon will be specified on the App and updated from time to time.
    2. The appropriate number of WIL Points will be deducted from your WIL Account at the time of issuance of the Coupon.
    3. All WIL Points required for redeeming a Coupon must be in your WIL Account at the time of redemption, and the pooling of WIL Points from a number of different WIL Accounts is not permitted.
    4. Where required, Members must first contact respective Merchants or Partners to reserve a Reward, prior to redeeming the Coupon.
    5. All WIL Points, once redeemed for Coupons, are non-refundable, non-reversible and non-transferable.
    6. Each Coupon has its specified expiration date and cannot be extended.
    7. Merchants and Partners may impose blackout periods for when the Coupons may not be used.
    8. Members should immediately report any suspected unauthorised redemption. WIL will decide at its discretion what action, if any, will be taken. WIL may refuse to compensate Members with WIL Points for any unauthorised redemption, should a Member contribute to an unauthorised redemption in any way, by negligence or otherwise, including the disclosure of your password.
    9. Coupons believed to have been bartered, sold, exchanged, or issued fraudulently, or issued to someone other than the eligible Member, will be void and will not be honoured.
    10. No tax invoice or receipt will be issued by WIL for redeeming a Coupon, or applying the Coupon for free parking or Reward redemption.
  8. Free Parking

    1. Members can apply Coupons for free parking hours at the designated Car Parks.
    2. The list of Car Parks eligible for earning WIL Points and free parking redemption is available for viewing on the App, updated from time to time. You can also locate the Car Parks at “Map".
    3. Free parking offer is applicable to private cars only. It is not available to light goods vehicles, medium goods vehicles and heavy goods vehicles.
    4. Once a free parking Coupon is redeemed, it must be used prior to the expiration date stated therein.
    5. Free parking Coupons may be used in conjunction with other parking promotions, which will be subject to additional terms and conditions of the offerors.
    6. Free parking Coupons cannot be used in conjunction with any day- or night-parking offer. If you use a free parking Coupon nonetheless, either the parking offer will cease to apply, or the Coupon will become invalid and all WIL Points in respect of that Coupon will be forfeited.
    7. Use of a Car Park will be subject to that Car Park’s terms and conditions, as may be amended from time to time. You should read carefully and comply with those terms and conditions before applying the free parking Coupon and when using the Car Park.
  9. Rewards

    1. Members can apply Coupons to redeem Rewards. The redemption of any Rewards, including their usage, delivery and collection, will be subject to additional terms and conditions, which will be posted on the App, or notified to you prior to your redemption.
    2. WIL will make reasonable efforts to ensure that all information concerning the Rewards is correct. However, to the maximum extent permitted by law, WIL does not accept any liability if such information and any other content displayed via the Platform are not complete, correct, accurate or error-free.
    3. Certain Rewards may be redeemed by Coupons together with payment of money. All money payable for redeeming any Rewards must be made directly to the relevant Merchants or Partners.
    4. Rewards may carry different validity periods, subject to individual offers made by the offerors.
    5. All Rewards are subject to additional terms and conditions of the respective Merchants and Partners, which may be subject to change without prior notice.
    6. Rewards that can be redeemed by you shall be prescribed, amended, provided, offered or terminated, from time to time, at our sole discretion, without any liability to you.
    7. WIL may provide external links on the App regarding a Reward. These links are beyond the control of WIL and WIL does not make any warranties nor accepts any liability in relation to materials and content contained on external sites.
    8. Rewards cannot be exchanged for cash.
    9. Members warrant that the redeemed Rewards are for your personal use only and not for resale purpose.
    10. Members will be responsible for all applicable taxes, duties, charges (including without limitation any custom charges, import duties, postal clearance fees and any delivery charges) that may be imposed or charged in relation to the redemption, delivery and receipt of the Rewards.
  10. Refund or Exchange

    1. If you earned WIL Points from a purchase but you subsequently refunded that purchase, the WIL Points earned from the corresponding transaction will be deducted from your WIL Account.
    2. Once redeemed, a Coupon cannot be refunded or exchanged. However, if WIL cancels the redeemed Coupon before you are able to use it, you will be refunded of the equivalent WIL Points for that Coupon.
    3. Once a Coupon has been used to redeem free parking hour(s) or a Reward, the redemption will be considered final and cannot be amended, cancelled, exchanged or refunded by the Member.
    4. WIL is not responsible in any way for any warranty provided with a Reward. Prior to redemption, Members should take note of product or service warranty (if available), warranty period and warranty conditions.
    5. If the Reward is faulty or different in specifications from your original order, you should contact the Merchant or Partner which offers you the Reward directly. They will, at their discretion, arrange for repair, replacement or refund in accordance with their refund and exchange policy.
  11. Offers and Promotions

    Subject to your consent obtained in accordance with our Privacy Policy, we can use your personal data to provide you with personalised offers and promotions in relation to your WIL Account, and to send you marketing and promotional communications via your preferred communication channel. In this regard, it is important that you consent to us processing your personal data for direct marketing purpose, and that you opt in to receiving direct marketing materials so that it is possible for us to display information and advertisements that are relevant to you to enhance your overall user experience. You can always choose to withdraw or adjust your consent at any time at “Settings”.

  12. Account Security

    1. Your WIL Account is personal to you, and you may not share your account information with, or allow access to your account by, any third party. Because you will be responsible for all activities that happen under your access credentials, you agree to use reasonable efforts to prevent unauthorised access or use of your WIL Account and/or WIL ID, and to protect the confidentiality of your log-in information. We also recommend that you update your password regularly. Please Contact Us immediately if there has been any unauthorised use of your WIL Account and/or WIL ID or any other breach of security.
    2. We cannot and will not be liable for any loss or damage arising from your failure to comply with Clause 12.1 above.
  13. Changes to Platform

    We have the right to make changes to any feature of the Platform at any time.  We will notify you of any major changes to any feature of the Platform by emailing you or by posting a notice on our App and/or Site. By continuing to use your WIL Account after we have provided the notice, you agree to our amendments. If you do not agree to these amendments, you will have the option of cancelling your WIL Account at any time.

  14. Changes to Our Terms

    From time to time, we may update these Terms. We will notify you of any major changes to these Terms by emailing you or by posting a notice on the App and/or Site. By continuing to use your WIL Account, and/or use or access of the App or the Site after we have provided the notice, you agree to our amended terms. If you do not agree to these amendments, you will have the option of cancelling your WIL Account at any time.

  15. Prohibited Activities

    You are prohibited from doing the following activities:

    1. fraudulently or dishonestly claim eligibility to accrue WIL Points or redemption;
    2. knowingly supply incorrect information to accrue WIL Points;
    3. abuse or engage in any misconduct or wrongdoing in connection with your WIL Account, WIL ID, WIL Points and/or redemption;
    4. exchange, transfer, sale and/or purchase WIL Points with any persons or entities;
    5. acted in an inappropriate, fraudulent, abusive or hostile manner;
    6. encourage conduct that violates any law, either civil or criminal, or impersonate another Member, person or entity;
    7. affect WIL adversely or reflect negatively on us, the Platform, our goodwill, name or reputation or cause duress, distress or discomfort to us or anyone else, or discourage any person, firm or enterprise from using all or any portion, features or functions of the Platform, or from advertising, linking or becoming our Merchant or Partner;
    8. engage in any conduct that restricts or inhibits any other Members from using or enjoying the Platform, the App or the Site;
    9. circumvent, disable or otherwise interfere with security-related features of the Platform, the App or the Site, including, without limitation, any features that prevent or restrict use or copying of any App Content or enforce limitations on the use of the Platform;
    10. use an automatic device (such as a robot or spider) or manual process to copy or “scrape” the App Content for any purpose without our express written permission;
    11. transmit, distribute or upload programs or material that contain malicious code, such as viruses, timebombs, cancelbots, worms, trojan horses, spyware, or other potentially harmful programs or other material or information;
    12. collect or harvest any personally identifiable information from the Platform;
    13. attempt to or interfere with the proper working of the Platform, the App or the Site, or impair, overburden, or disable the same;
    14. decompile, reverse engineer, or disassemble any portion of the Platform, the App or the Site; and
    15. use network-monitoring software to determine architecture of or extract usage data from the Platform, the App or the Site.
  16. Account Termination

    1. Cancelling by Member

      1. You have the right to cancel your WIL Account at any time and for any reason by email to cs@gowil.com.hk.
      2. Upon your cancellation, your WIL Account will be immediately terminated, and all accrued WIL Points, unredeemed Coupons and Membership status will be forfeited immediately and may not be reinstated or transferred.
      3. If you are a paid Prestige Member and decide to terminate your WIL Account, no refund of any prorated amount of the subscription fee will be made to you.
    2. Cancelling or suspending by WIL

      1. We may suspend or terminate your WIL Account (with or without notice) and/or seek to recover from you any damage and loss suffered by us, if we reasonably believe that you:
        1. act in a manner inconsistent with any applicable laws or regulations;
        2. misuse or abuse your WIL Account, WIL ID and/or WIL Points;
        3. commit any Prohibited Activities; or
        4. fail to adhere to the Agreement.
      2. We shall simultaneously cancel all accrued WIL Points upon the termination of your WIL Account. Moreover, you may not reapply for Membership and any WIL Points earned in relation to your new Membership may be forfeited upon discovery.
      3. You can appeal against our decision by writing to us together with all evidence to support your grounds of appeal. We will make a re-assessment of your case based on your submissions and our investigation, and will inform you of our final decision in writing. In the event that you are dissatisfied with the appeal outcome, you can resort to dispute resolution as provided in Clause 25 below.
      4. Without prejudice to Clause 16.2.1, we may also terminate your WIL Account at our sole and absolute discretion and in such circumstances we will provide you with one (1) month’s notice of termination. Upon expiry of the notice period, all unused WIL Points and Coupons will be cancelled.
      5. Nothing contained herein will limit us in the exercise of any legal or equitable rights and remedies.
      6. If a Member has redeemed a Coupon or Reward through fraud or dishonesty then the Member shall without limitation be liable to WIL, Affiliates, Merchants and/or Partners for the full value of the Coupon or Reward together with all costs and damages incurred or suffered by WIL, Affiliates, Merchants and/or Partners as a result thereof.
    3. Termination of Platform

      1. If we plan to terminate the Platform for any reason, we will provide you with at least three (3) months' prior notice, by posting the notice on the App, the Site and/or Channels. Any accrued WIL Points and Coupons that are not used and any Rewards that have not been collected before the date of termination shall be forfeited.
      2. If you are a paid Prestige Member and we terminate your WIL Account for any reason other than your breach of Clause 16.2.1, we will provide you with a pro rata refund of your subscription fee to your credit card.
    4. Termination of your Membership for whatever reason shall be without prejudice to the accrued rights and remedies of WIL Parties, Merchants and Partners as at the date of termination.
    5. Upon the death of a Member his/her WIL Account will be closed and all outstanding WIL Points and Coupons will be cancelled.
  17. Disclaimers

    1. All users opening a WIL Account with us undertake that the information provided by them is truthful and accurate and they will be the exclusive user of their WIL Account. We have no obligation of investigating the truthfulness of the Member identity and will not take any responsibility for any loss arising from registering a WIL Account with stolen, fraudulently used or misuse of identity details.
    2. We make no representations, undertakings or warranties:

      1. the results that may be obtained from the use of the Platform, the App or the Site will be accurate, reliable, uninterrupted, timely, secure or error-free;
      2. the quality of the Platform, the App Content and our Services will meet your expectation;
      3. as to title, accuracy, completeness, quality, merchantability, fitness for purpose or non-infringement of third-party rights in relation to the Platform, the App Content and our Services; or
      4. the underlying software of the Platform will be uninterrupted, error-free, secure, timely or available, or that any error or malfunction will be rectified.
    3. Access and use of the Platform is at your own risk. We do not warrant that the use of the Platform or any material downloaded from it or from other sites linked to the App and/or the Site will not cause damage to any property, including but not limited to loss of data or virus infection.
    4. The Platform may suffer from interruption, pause, delay or data fault which occurs due to malfunction, break-off, delay, illegal attack, virus infection or other factors of internet data transmission. We do not accept any responsibilities or liabilities for any damage or loss suffered by you arising therefrom.
    5. WIL does not accept any responsibilities or liabilities, whatsoever for any network problems, system or hardware failures, mobile telephone connection problems or interferences due to third party applications or system or hardware which may result in the Platform being affected or unavailable.
    6. We use third parties to provide data on which the App Content is based. We and our data providers try to make sure that the data is correct and up-to-date, but we cannot guarantee that it will always be.
    7. App Content is provided on an “as is” and “as available” basis, and there may be delays, omissions or inaccuracies in it. We cannot and do not guarantee the accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title or non-infringement of the App Content and disclaim any such express or implied warranties, to the fullest extent permitted by law.
    8. You expressly agree that WIL is not providing advice on road safety, or your ability and fitness to drive. Driving Information is for reference purpose only. You acknowledge that driving carries inherent risks of property damage, bodily injury or death and that you voluntarily assume all known and unknown risks associated with driving even if caused in whole or part by the action, inaction or negligence of WIL or the action, inaction or negligence of others.
    9. All Rewards are provided on behalf of Merchants, Partners and other third parties. WIL is neither the supplier nor manufacturer of any Rewards and excludes all liability in respect of (i) the quality, merchantability or fitness for purpose of any product-related Rewards; and (ii) the quality of any service-related Rewards. In particular, WIL does not warrant that any service-related Rewards will be provided with reasonabel care and skill.
    10. The display or reference of insurance products on the App does not constitute an offer of insurance, nor is any contract, agreement or insurance coverage implied, formed or bound by such reference. Insurability, final insurance premium and an offer of insurance, if any, will be determined by the Insurer entering into an insurance contract directly with you.
  18. Our Liability

    1. Nothing in these Terms shall operate to exclude or restrict any party’s liability for death or personal injury resulting from negligence or fraud.
    2. We do not accept any liability for any inaccuracy, error or omission in the Driving Information, and we exclude all liability for any action you may take or loss or injury you may suffer (direct or indirect including loss of income, profit, opportunity or time) as a result of relying on the Driving Information or any other information made available through the Platform.
    3. WIL will not be liable to Members for any damage or loss arising out of or in connection with products or services purchased, or Rewards redeemed, by you from Merchants and Partners. If you encounter any problems with the products, services or Rewards you received, you must resolve the issues directly with the relevant Merchants and Partners, and you acknowledge and agree that your sole remedy in such circumstances ultimately lies with that Merchant or Partner concerned and not with us. All warranties, conditions and other terms implied by law are, to the fullest extent permitted by law, excluded from these Terms.
    4. In no event will any WIL Parties be liable for any indirect, special, incidental, punitive or consequential losses or damages suffered by you however they may arise, including negligence.
    5. Without prejudice to Clause 18.4 and to the maximum extent permitted by law, our maximum aggregate liability arising out of or in connection with the Agreement, our Services, the Platform, the App, the Site, App Content, your WIL Account, WIL ID, WIL Points, Coupons, Rewards and Referral Codes shall be limited to the provision of WIL Points and/or the replacement of any Reward that is the subject of the dispute, or HK$100 (Hong Kong Dollar one hundred), as we may determine at our absolute discretion.
  19. Indemnification

    You agree to defend, indemnify and hold harmless the WIL Parties from and against any and all losses, damages, costs expenses, including reasonable legal and accounting fees, rights, claims, actions of any kind, arising out of or relating to your breach of Clause 2.4 or 15 above. We shall provide notice to you of any such claim, suit or proceeding. We reserve the right to assume the exclusive defence and control of any matter which is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting our defence of such matter.

  20. Force Majeure

    1. WIL shall in no event be liable for any delay or failure to provide any Services due to a Force Majeure Event.
    2. If a delay or failure of WIL to perform its obligations is caused or anticipated due to a Force Majeure Event, the performance of WIL’s obligations will be suspended accordingly.
  21. Intellectual Property Rights

    1. All rights, title, interest, copyright, trade mark rights, domain names, design rights, goodwill and any other intellectual property rights anywhere in the world (of any kind whatsoever) subsisting in the Platform and App Content are owned by us and/or our licensors. You shall not obtain any rights, title or interests in them, and shall not modify, copy, rent, lease, loan, sell, distribute or create derivative works based on them (either in whole or in part).
    2. The Platform and all App Content shall be the property of WIL, and/or other entities under our direction or from whom we have obtained an appropriate license, with all rights reserved. Except as provided in these Terms, neither the Platform nor the App Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without our prior written permission. You recognize that the Platform, the App Content and in particular text, pictorial, video and sound material of all kinds, are protected under the laws on copyright, patent, trademark, branding, design, company, industrial property and/or other legal protection. Your use of the App and/or the Site does not grant or transfer to you any ownership or other rights in the Platform and the App Content. Any rights not expressly granted to you in these Terms are expressly reserved by WIL.
    3. You further agree that any feedback, comments or suggestions you may provide to us is entirely voluntary and we will be free to use it (or not use it) as we see fit, and without any obligation to you.
  22. Privacy Policy

    Our Privacy Policy sets out the purposes for which we will use your personal data, who we share your personal data with, and the choices you have in relation to how your personal data is collected and used by us.  By accepting these Terms, you also confirm that you have reviewed and understand our Privacy Policy, and you agree and consent that any information shared by, or collected from or about, you may be used by us in accordance with our Privacy Policy, as it is updated or changed from time to time.

  23. Third-Party Websites

    The Platform and any electronic communications sent to you or any materials provided to you online or digitally, may include links to other websites, content or resources, which are hosted, offered or provided by third parties (including our Affiliates, Merchants and Partners).  You understand and agree that we:

    1. do not have any control over and do not monitor those third-party websites, content or resources;
    2. do not provide any undertakings, representations or warranties, and are not responsible for any of those third-party websites, content or resources (or any products, goods or services promoted, referred to or offered on the third-party websites or resources); and
    3. do not endorse any of those third-party websites, content or resources, or any advertising, products, goods, services or other materials made available from such third-party websites or resources.
  24. Law and Jurisdiction

    These Terms and the relationship between WIL and each Member shall be governed by and construed in accordance with the laws of the Hong Kong. Both you and WIL agree to submit to the non-exclusive jurisdiction of the Hong Kong courts.

  25. General Terms

    1. If any of these Terms are held invalid, illegal or unenforceable by any court or tribunal of competent jurisdiction, it will be severed and the remaining terms will continue in full force and effect as if these Terms had been made without the invalid, illegal or unenforceable term.
    2. These Terms and any other terms and conditions referred to herein and/or posted on the App or the Site, contain the entire agreement between you and WIL.
    3. A failure or delay by us to exercise any right or act upon a breach under these Terms will not be a waiver of that right or breach. Any waiver by us of any of our rights or of a breach of these Terms must be in writing, and such waiver is limited to the particular right or breach stated in it.
    4. These Terms are personal to you, and you may not transfer any of your rights or obligations under these Terms. We may transfer our rights or obligations to any third party without your consent.
    5. WIL may enforce any term of the Agreement on behalf of its Affiliates and shall be entitled to recover any loss and/or damage suffered by the Affiliates arising out of or in connection with the Agreement as though such loss and/or damage had been suffered by WIL. Save as provided in this Clause 25.5, there are no third party beneficiaries under this Agreement.
    6. If there are any inconsistencies or conflict between the terms of these Terms and those posted or updated on the App and/or the Site, these Terms shall take precedence.
    7. These Terms are written in the English language and may be translated into Chinese or any other languages.  If there is any inconsistency between the English version and any translated version, the English version shall prevail.
